1. Contracting parties
These Terms & Conditions govern the relationship between SmartNetSolution SRL, headquartered in Târgoviște, Romania, CUI 52133123, registered under no. J: 2025050805001 (hereinafter referred to as the "Provider") and any individual or legal entity accessing the website smartnetsolution.com or using the services offered (hereinafter referred to as the "Client").
2. Scope of services
SmartNetSolution offers the following categories of services:
- Social media marketing (Facebook, Instagram, TikTok, LinkedIn)
- Web development and UI/UX design
- SEO optimization (on-page, off-page, local SEO)
- Brand strategy and visual identity
- Paid advertising campaigns (Google Ads, Meta Ads)
- Digital marketing consulting
The specific details of the contracted services, deliverables, timelines and prices are established through an individual contract signed by both parties.
3. Prices and payment methods
Service prices are those set out in the commercial offer accepted by the Client or in the signed contract. SmartNetSolution issues tax invoices in accordance with applicable Romanian law.
- Payment is made by bank transfer, card, or other agreed methods
- The standard payment term is 5 business days from invoice issuance
- Late payment may incur penalties of 0.1% per day of delay
- SmartNetSolution reserves the right to suspend services in the event of non-payment
4. Provider's obligations
SmartNetSolution undertakes to:
- Perform the contracted services to the agreed quality standards
- Meet the deadlines set out in the contract
- Maintain the confidentiality of information provided by the Client
- Inform the Client of any relevant changes to the strategy or platforms
- Provide performance reports according to the agreed frequency
5. Client's obligations
The Client undertakes to:
- Provide, in a timely manner, all necessary materials, access, and information
- Pay for the services within the agreed terms
- Respect the intellectual property rights of third parties
- Not use SmartNetSolution's services for illegal activities or activities that violate ethical standards
- Designate a representative responsible for communicating with our team
6. Intellectual property
All creative materials (graphics, texts, source code, strategies) produced by SmartNetSolution under the contract become the Client's property after full payment of the services, except where otherwise stipulated in the contract.
SmartNetSolution reserves the right to use completed projects in its portfolio, except where the Client explicitly requests confidentiality.
7. Confidentiality
Both parties agree to keep confidential the commercial, technical, and strategic information obtained during the collaboration. This obligation remains in effect for 2 years after the termination of the contract.
8. Limitation of liability
SmartNetSolution does not guarantee specific results (number of followers, Google rankings, sales) as these depend on external factors (algorithms, market conditions, advertising budget). We commit to making every professional effort to achieve the agreed objectives.
SmartNetSolution's liability is limited to the value of the contracted services for the month in which the damage occurred. We are not liable for indirect damages, loss of profit, or lost business opportunities.
9. Contract duration and termination
Recurring service contracts are concluded for an indefinite period, with the possibility of termination by either party through 30 days' written notice.
The contract may be terminated immediately by SmartNetSolution in the event of non-payment, abusive use of services, or requests for illegal activities.
10. Force majeure
Neither party shall be liable for failure to fulfill contractual obligations caused by force majeure events (natural disasters, conflicts, pandemics, major legislative changes). The affected party will notify the other party within 5 business days.
11. Applicable law and disputes
These Terms & Conditions are governed by Romanian law. Any dispute will be resolved amicably. If this is not possible, the dispute will be submitted to the competent Romanian courts.
12. Amendment of terms
SmartNetSolution reserves the right to amend these Terms & Conditions. Changes will be published on this page and will take effect 15 days after publication. Continued use of the services after this period constitutes acceptance of the changes.
